1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an entity) and EyesOn SafeTech Private Limited ("Company", "we", "us", or "our"), governing your access to and use of our website, software engineering deliverables, and technical platforms.

By accessing our website or engaging our services, you confirm that you have read, understood, and agreed to be bound by all of these Terms.

2. Professional Services & Statements of Work

Scope of Deliverables: All custom software engineering, cloud architecture, and security auditing services will be defined in a formal Statement of Work (SOW) or commercial proposal mutually executed by both parties.

Milestone Acceptance: Deliverables are considered accepted once the client verifies functionality against specifications within the designated user acceptance testing (UAT) window.

Change Orders: Any modifications to project scope, architecture, or timelines must be agreed upon in writing via a formal change order.

3. Intellectual Property Rights

Client Work Product: Upon receipt of full and final payment, all custom code, application architecture, and documentation specifically developed for the client belong exclusively to the client.

Company Background IP: EyesOn SafeTech retains ownership of proprietary libraries, pre-existing frameworks, methodologies, and open-source tooling incorporated into the engagement. Clients receive a perpetual, non-exclusive license to use such background IP as embedded within deliverables.

4. Free Developer & Business Tools

EyesOn SafeTech provides free online developer utilities (e.g., ATS Resume Builder, Invoice Generator, Color Palette Extractor) as an educational and operational convenience.

"As-Is" License: These tools run locally in your web browser and are provided without representations or warranties of any kind.

User Responsibility: Users remain solely responsible for the accuracy of their generated resumes, legal documents, tax invoices, and exported assets.

5. Invoicing & Payment Terms

Payment Schedules: Invoices are issued based on agreed milestone completions or time-and-materials schedules.

Payment Terms: Standard payment terms are Net-30 from invoice receipt date, unless otherwise specified in your commercial contract.

Taxes: Invoices exclude applicable statutory taxes (such as GST or international withholdings), which are billed in accordance with prevailing laws.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall EyesOn SafeTech Private Limited or its directors, employees, or partners be liable for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, loss of data, or operational downtime, arising from your use of the website or deliverables.

Our total aggregate liability under any contract or claim shall not exceed the total fees actually paid to us by the client during the three (3) months preceding the event giving rise to liability.

7. Confidentiality & Non-Disclosure

Both parties agree to protect proprietary and confidential information disclosed during technical discussions or delivery with the same degree of care as their own confidential materials, and never disclose it to unauthorized third parties without prior written consent.

8. Governing Law & Jurisdiction

These Terms and any dispute arising out of or related to our engagements shall be governed by and construed in accordance with the laws of India. Both parties irrevocably consent to the exclusive jurisdiction of the courts located in Rajasthan, India.
